PJT Camberview Description:

PJT Camberview, PJT Partners’ industry leading shareholder advisory business, advises public company boards and management teams on building productive relationships with investors and navigating complex shareholder matters, including on shareholder engagement, strategic investor relations, activism and contested situations, sustainability and corporate governance.

Program Description:

Upon completion of training, PJT Camberview Summer Associates will have the opportunity to participate in all aspects of client work that mirror the full-time associate role, including conducting research and synthesizing key information, assisting in developing messaging and creating bespoke work product for clients. Due to the relatively small size of the advisory team, a Summer Associate will assume an integral role on his or her client teams, working closely with analysts, associates and senior level team members across all three of Camberview’s business verticals.

Summer Associates will be placed within one of three business verticals that will account for the majority of their responsibilities for the summer: Activism Preparedness & Defense, Strategic Governance Advisory, or Strategic Investor Relations. Applicants may rank verticals based on interest/relevancy of background upon applying (see responsibility descriptions and qualifications below).

Camberview will consider the candidate’s chosen rankings in determining vertical placements, but ultimately retains discretion to assign business verticals for Summer Associates and any potential subsequent full-time offers. Responsibilities of each group and qualifications can be found below to help candidates determine their rankings:

Activism Preparedness & Defense

  • Responsibilities:

    • Work within assigned client teams to support all aspects of client mandates

    • Demonstrate a comprehensive understanding of each assigned client, their business and their governance structure and profile

    • Identify and analyze potential vulnerabilities that could inform an activist’s thesis including strategic, financial, operational, board, governance, compensation and ESG arguments and assist in developing a plan for successfully advising companies on these issues

    • Assist in executing campaign strategy including comprehensive shareholder engagement and messaging strategy to achieve success for the client

    • Research, analyze and develop materials relating to activists, institutional investors, market and peer practices and recent governance and activism trends for use with clients

    • Support effective project management and team preparation for client meetings and upcoming deliverables

    • Help prepare senior team members for client meetings, including engagements with company leadership and board members

    • Contribute to the firm’s intellectual leadership by supporting the development of research materials with broad applicability

    • Evaluate key trends and notable updates in the activism landscape, recent campaigns, and impact of relevant regulatory changes and market conditions

Strategic Governance Advisory

  • Responsibilities:

    • Work within assigned client teams to support all aspects of client mandates

    • Demonstrate a comprehensive understanding of each assigned client, their business and their governance structure and profile

    • Identify and analyze corporate governance and proxy voting issues facing public companies and assist in developing a plan for successfully advising companies on these issues

    • Prepare sophisticated and effective management, board and investor presentations across a range of corporate governance issues

    • Research, analyze and develop materials relating to institutional investors, market and peer practices and recent governance and activism trends for use with clients

    • Support effective project management and team preparation for client meetings and upcoming deliverables

    • Help prepare senior team members for client meetings, including engagements with company leadership and board members

    • Contribute to the firm’s intellectual leadership by supporting the development of research materials with broad applicability

Strategic Investor Relations

  • Responsibilities:

    • Conduct analyses of company fundamentals and IR messaging to optimize investor strategy across a variety of topics including: corporate strategy, capital allocation, financial disclosure and guidance

    • Assist in drafting materials to support companies navigating complex investor relations situations and in articulating a compelling investment thesis to help clients retain current shareholders and appeal to prospective shareholders, including through major investor events and investor targeting

    • Perform financial and valuation analyses to identify and develop creative solutions to address issues that may adversely impact valuation

    • Prepare high-impact management/investor presentations, press releases, scripts and other deliverables relating to a range of fundamental and governance issues

    • Demonstrate the capacity to work directly with clients and prospective clients, successfully contributing to both relationships

    • Support effective project management and team preparation for client meetings and upcoming deliverables

Qualifications:

  • PJT Partners seeks to hire individuals who are highly motivated, intelligent and have excellent academic, leadership and extracurricular records. In addition, qualified candidates will possess the following:

    • Experience performing in-depth research

    • Strong ability to analyze and synthesize qualitative and quantitative information

    • Ability to communicate effectively in presentations and express complex strategies in an organized and articulate manner

    • Ability to comfortably interact with senior-level executives and clients

    • Robust organizational and time management skills

    • Collaborative and team-oriented with sound judgment and strong interpersonal skills

    • Strong work ethic and ability to work well under pressure

    • Outstanding qualitative, technical and analytical skills (desired technical skills include Microsoft PowerPoint, Word and Excel)

  • Activism Preparedness & Defense / Strategic Governance Advisory-preferred qualifications:

    • 3+ years of relevant work experience in: an investor role analyzing governance matters; an advisory role providing strategic advice to public companies on activism, corporate governance, strategy, ESG, executive compensation, investor relations, or other related field; and/or other experience related to activism advisory (financial, strategic, governance, or communications)

    • Bachelor's Degree, with a strong academic record

  • Strategic Investor Relations-preferred qualifications:

    • 3+ years of work experience in a buy-side or sell-side equity research role and/or an advisory role providing strategic advice to public companies

    • Experience performing in-depth fundamental research, financial modeling and valuation analyses

    • Strong analytical skills

    • Bachelor's Degree, with a strong academic record
