<font size="14">ESSENTIAL JOB FUNCTIONS:</font><br> <b>Primary Duties and Responsibilities </b><br> <ul> <li>Review and revise agreements, legal forms and documents for legal risks and accuracy.</li> <li>Advise management and executives on contractual terms, conditions, rights and obligations.</li> <li>Prepare agreements, addendums, affidavits, releases, or other documents as requested or required by internal clients.</li> <li>Gather and analyze research data, such as statutes, decisions and legal articles, codes and documents.</li> <li>Assist in the development and implementation of policies, procedures and standard terms for agreements.</li> <li>Work with internal clients as well as external counsel, as required, on policy, contract and agreement matters.</li> <li>Participate and provide support in the review and investigation of any claims, actions, or lawsuits filed against the Company, by assisting in developing defense strategies, evaluating the strength of the claims, conducting risk analyses and evaluating resolution opportunities.</li> <li>Assist and manage outside counsel as directed by the General Counsel in a broad range of matters and oversee and supervise litigation to promote efficient and effective dispute resolution of potential and actual disputes.</li> <li>Provide support on various ongoing legal and special projects, including, but not limited to: audits, risk assessments, corporate entity and organizational restructuring.</li> <li>Responsible for corporate governance matters for 100+ domestic affiliated entities and subsidiaries including (i) drafting minutes and board of directors meetings; (ii) creating and maintaining corporate minute books; (iii) drafting necessary documentation; (iv) preparing, processing and maintaining regulatory filings (i.e. state qualification filings).</li> <li>Participate in developing department goals, objectives, and systems.</li> </ul><br> <font size="14">KNOWLEDGE, SKILLS AND ABILITIES:</font><br> <ul> <li>Ability to manage a fast-paced workload and prioritize multiple projects.</li> <li>Ability to work independently while functioning in a team environment.</li> <li>Strong research, analytical and critical thinking skills.</li> <li>Professional demeanor and strong interpersonal skills.</li> <li>Excellent organizational skills and strong attention to detail and accuracy.</li> <li>Excellent written and oral communication skills.</li> <li>Must be able to work in a team environment.</li> <li>Thorough knowledge of legal terminology, principles and practices.</li> <li>Thorough knowledge of legal research techniques and relevant filing requirements.</li> <li>In depth knowledge of local, state and federal laws and regulations.</li> <li>Fluent in English.</li> </ul><br> <font size="14">EDUCATION / SPECIALIZED KNOWLEDGE REQUIREMENTS:</font><br> <ul> <li>An associate's degree is required.</li> <li>Paralegal certification or one to two years of related experience and/or training; or equivalent combination of education and experience.</li> <li>Bachelor's degree in relevant field preferred.</li> <li>Minimum one (2) year of previous experience as a paralegal (in-house preferred).</li> <li>Proficient in Microsoft Office suite (including Outlook calendar management).</li> </ul><br>PAY RANGE:
