Shell Energy is the Group’s offer to market where we support wholesale, B2B and B2C customers with their current and future energy and decarbonization needs. The business provides solutions across a portfolio of gas and power, including renewables, and a range of environmental products and energy management solutions.
This role will be part of a team that is accountable for providing support to Shell Energy in the Americas, across B2B, B2C and wholesale trading.
Accountabilities:
Act as lead lawyer for material Shell Energy projects
Provide legal support to B2B retail electricity and energy solutions activities, including demand response and environmental projects as well as power generation projects in support of the Shell Energy business, including support to tenders, renewable power and other development projects and corporate deal structures, and to provide ongoing support to joint ventures and portfolio companies as needed.
Support renewable energy credit (REC) and carbon offset transactions.
Assist with M&A activity, litigation support, and management of outside counsel as required
Provide strategic legal advice to management on complex energy trading transactions
Support dispute resolution and litigation matters impacting the business
Draft, review, and negotiate contracts, agreements, and transactions related to energy and environmental products markets
Mentor and guide junior legal staff and support staff, with the expectation that team members will work across the various scopes of work that support the Shell Energy business objectives
Maintain awareness of impactful legal and regulatory developments affecting the energy industry and implement necessary compliance measures
Collaborate with business and functional teams to ensure that legal risks are identified, appropriate alternative structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework
What you bring
Must have legal authorization to work in the US on a full-time basis for anyone other than current employer
Bachelor's degree and Juris Doctor and fifteen (15) or more years of relevant legal experience with a retail electricity supplier (required)
Ten (10) or more years of sophisticated commercial and transactional legal experience in retail electricity (required)
Strong understanding of the main legal areas relevant to activities across the Shell Energy business
Broad experience in dealing with complex and unique contracts and demonstrated ability to think creatively in developing compliant and unique legal solutions to support the business drivers
Good commercial mindset and the ability to handle multiple clients in an environment which demands a quick and thoughtful legal touch across several legal disciplines
The ability to work in a less well-defined legal environment with clients who need and demand pragmatic and prompt legal advice
Demonstrated ability to draft well and to negotiate in a firm fashion.
Ability to develop and sustain relationships with business and functional colleagues at all levels
Broad general grasp of legal issues under own and foreign legal systems and demonstrated capability of building up knowledge in particular areas of law.
Knowledge and experience to identify critical legal risks
Demonstrable track record as a team player
High levels of business and legal acumen
Ability to react positively to a wide range of challenges
Strong influencing, negotiating and facilitation skills
Excellent verbal and written communication skills
Licensed to practice law in the State of Texas, or able to become licensed within 12 months
This individual must be self-motivated, self-directed, able to prioritize workload and to work both independently and as a member of a team, while at the same time knowing when to seek advice from his or her line manager or more senior colleagues
Previous relevant experience is likely to be a key success factor for the selected candidate
What we offer
The base salary range for this position is $214,000 - $320,000 per year. Individual pay will be based on various factors, such as relevant work experience, education, certifications, skill level, seniority, and internal equity.
For regular full-time or regular part-time employees of the Company (participating companies as listed in the Summary Plan Description), insurance coverage options include medical, dental, vision coverage, life Insurance, Business Travel Accident Insurance, and Occupational Accidental Death Benefit programs. Employees also participate in a company pension plan and a 401(k) plan. Paid leave includes up to 6 weeks of paid vacation time, up to 11 paid holidays, and parental leave offering 16 weeks of paid leave for birthing parents, and 8 weeks of paid leave for non-birthing parents.
Additionally, employees are eligible for short-term disability leave for up to 26 weeks at 100% or 50% of base pay as well as Long-Term Disability insurance. Shell also offers other compensation such financial reimbursement for adoption, wellness, education, and personal learning expenses, and some roles are eligible for discretionary long-term incentives. For interns, eligible benefits include medical, dental, and vision coverage, life insurance, Business Travel Accident Insurance, and Occupational Accidental Death Benefit programs; participation in a 401(k) plan; and paid leave for up to 11 paid holidays.
