What you will do:
You will serve as the central point of contact for all matters related to the Board of Directors, ensuring seamless communication, coordination, and execution of board-related activities. The individual will manage logistics, materials, and governance processes with precision and discretion, supporting both the Board and Corporate Secretary in maintaining high standards of corporate governance.
How you will do it:
Board Support & Coordination
Serve as the single point of communication with the Board of Directors.
Organize and coordinate all Board-related events, including Quarterly Meetings, Shareholder Meetings, Site Visits, and Town Halls.
Manage logistics for Board events, including travel, lodging, and venue arrangements.
Lead the production and distribution of Board and Committee materials.
Administer the Board portal and maintain official Board records.
Provide IT support and troubleshooting for Board members.
Maintain Board and Committee meeting minutes and materials.
Assist with Board compensation and related tax matters.
Corporate Secretarial Support
Prepare and manage ownership filings for Directors and Section 16 officers.
Coordinate annual Director & Officer questionnaires and Board self-evaluation.
Support execution of governance policies for directors and officers, including conflict of interest and related party checks.
Maintain records related to Board and corporate governance activities.
What we look for:
Proven experience working with senior executives and board members.
Strong project management skills with the ability to meet tight deadlines. Exceptional communication skills, both written and verbal, tailored to executive audiences.
Creative problem-solving and proactive approach to challenges.
Proficiency in managing IT platforms such as board portals and SharePoint.
Willingness and ability to travel internationally on a regular basis.
Advanced skills in Microsoft Word, Excel, and PowerPoint for document creation and record maintenance.
This is a hybrid role at our Glendale, WI office.
HIRING SALARY RANGE: $73,000 - $131,000 (Salary to be determined by the education, experience, knowledge, skills, and abilities of the applicant, internal equity, location and alignment with market data.) This role offers a competitive Bonus plan that will take into account individual, group, and corporate performance. This position includes a competitive benefits package.
